General Conditions of Sale

1. Preamble

Any order automatically implies full acceptance of these General Terms and Conditions of Sale. These cannot be amended by any contrary provisions that may appear in the customer's purchase orders or general purchasing conditions. Orders are subject to our acceptance.

2. Prices

Our prices are exclusive of tax, ex-warehouse Groupe Routage – 5 rue Jean Moulin, 02880 Crouy (France), packaging and shipping additional. They may vary according to the economic, monetary, and fiscal conditions in effect at the time of the order.

3. Minimum Invoice Amount

€250 net excl. tax minimum per order. Below this amount, a flat fee of €25 net excl. tax will be applied.

4. Shipping

Delivery costs are invoiced in addition to the price of the products. For any destination outside mainland France, please contact us beforehand. In the event of a return for after-sales service or warranty, round-trip transport costs are borne by the customer.

For any delivery outside the European Union, customs formalities as well as all duties, taxes, and customs clearance fees are entirely borne by the customer.

5. Account Opening

A bank account details form (RIB) is required to open an account. Payment is made in cash upon order or upon receipt by bank transfer or cheque, without discount.

6. Payment Terms

France

Payment upon order for any first order. Thereafter, payment within 30 net days, subject to validation by A2S when the customer account is opened.

Export

Payment upon order. Subject to exception, payment of 30% to 50% upon order and the balance before shipment of the goods.

Late Payment Penalties

In accordance with Articles L.441-10 et seq. of the French Commercial Code, any late payment will be subject to late payment penalties calculated on the basis of three times the legal interest rate in effect, applied to the total amount (incl. tax) of the sum remaining due, from the invoice due date.

Fixed Recovery Indemnity

In accordance with Article D.441-5 of the French Commercial Code, a fixed indemnity of €40 for recovery costs is automatically due in the event of late payment, without prejudice to a claim for additional compensation if the recovery costs actually incurred exceed this amount.

Products are payable at term; mere non-payment on any of the due dates automatically results in the loss of the benefit of the term, with the entire debt becoming immediately payable within 10 days after a formal notice to pay has remained unanswered.

Any recovery through legal proceedings automatically entails, at the customer's expense, an indemnity set as a penalty clause at 15% of the amount of invoices unpaid at their due date, without prejudice to any claims that may be made under Article 700 of the French Code of Civil Procedure.

7. Non-Payment

In the event of non-payment, A2S reserves the right to suspend any current and future deliveries until full payment of the amounts due.

8. Delivery Times

Our delivery times and availability are given for information purposes only, subject to prior sale. They may be revised according to actual supply or manufacturing conditions.

9. Transport

Our goods travel by express carrier or courier. The transfer of risk occurs as soon as the goods are handed over to the carrier.

10. Warranty

Our products are guaranteed for between 1 and 5 years, parts and labor, depending on the product concerned. The applicable warranty period is specified on the invoice and on the corresponding product data sheet.

The warranty applies to equipment repaired by us, from the date of delivery, against any manufacturing defect.

Our warranty is strictly limited to the repair or replacement of parts that we have recognized as defective, provided that:

      the defect found does not originate from an external cause such as: wiring error, mishandling, impact, short circuit;

      the equipment has not been repaired or modified by the user or a third party.

Any abnormal use or use not in accordance with the manufacturer's instructions, or any modification of the equipment, will result in the termination of the warranty.

Under no circumstances may the defective device give rise, for whatever reason, to any compensation whatsoever due to downtime or a production stoppage.

11. Return of Goods

No return of goods may be made without A2S's prior written consent.

The return must be made in the original condition of the product, accompanied by a note stating the corresponding invoice number. Return costs are borne by the customer, including in the case of a return for after-sales service or warranty.

Any complaint must be made within three (3) business days of receipt of the goods. After this period, no complaint will be considered.

A2S reserves the right to either replace the item or issue a credit note corresponding to the purchase price, after inspection by its quality control department. A report will be sent to the customer. A2S reserves the right to refuse all or part of a return in the event of an unfavorable inspection.

12. Force Majeure

A2S cannot be held liable for the non-performance or delay in performance of any of its obligations in the event of force majeure within the meaning of Article 1218 of the French Civil Code, in particular in the event of war, riot, fire, strike, pandemic, natural disaster, failure of a supplier or carrier, or any other circumstance beyond A2S's control.

13. Retention of Title

In accordance with the provisions of Articles L.624-16 et seq. of the French Commercial Code, the goods remain the property of A2S until full payment of the sale price. A2S reserves the right to reclaim ownership of the goods sold in the event of non-payment.

14. Personal Data

As part of the performance of its contractual obligations, A2S is required to collect and process the customer's personal data, in accordance with the General Data Protection Regulation (GDPR — EU Regulation 2016/679) and the amended French Data Protection Act No. 78-17 of January 6, 1978.

15. Jurisdiction

These General Terms and Conditions of Sale are governed by French law. In the event of a dispute relating to their interpretation, performance, or termination, and in the absence of an amicable settlement, only the Aix-en-Provence Commercial Court shall have jurisdiction, regardless of the place of delivery or the accepted method of payment.
